CONSTITUTION
Purpose
The Bangladesh Association of Delaware Valley
seeks to enrich the social and cultural life of persons of Bangladesh
origin in the Delaware Valley; to disseminate the art, literature, and
culture of Bangladesh; to stimulate interest in economic, social, and
other developments in Bangladesh; and to develop goodwill among the
American people.
Membership
Membership of
the association is open to all persons of Bangladesh origin and anyone
who is interested in furthering its objectives. The membership dues will
be determined by majority vote at the Annual General Meeting for the
period of not less than three years. Members are required to pay their
annual dues before the Annual General Meeting of each year. Life
Membership can also be granted to any eligible member for a fixed fee
(to be determined). The amount for the fee will be reviewed every 5
years.
Management
The
affairs of the Association will be
managed by an Executive Board comprising of a President, two
Vice-Presidents, General Secretary, Treasurer, Social Secretary,
Cultural Secretary and not more than four other members. The Board
members will decide among themselves the assignment of duties and
responsibilities. The overall responsibility for the management of the
affairs of the Association will lie with the President. The President is
required to carry out his/ her obligations in consultation with the
other members of the Executive Board.
Election
The Executive Board will be elected by members for
an annual term (November through October of the following calendar year)
at the Annual General Meeting, which is to be held within June through
September of every year. The election is to be conducted by an Election
Officer elected by a show of hands in the meeting. Vacancies created by
resignations or other reasons shall be filled in for the remainder of
the term by persons nominated by the President and approved by the
Board.
Accounts
and Finance
The
Treasurer shall present the annual accounts of the Association, source
of funds, items of expenditures, liabilities, cash and other assets in
the Annual General Meeting. The accounts can be audited by a person
elected for the purpose in the Annual General Meeting. The accounts of
the Association will be open for review at any meeting by any member.
Amendment
The
Constitution can be amended by two-thirds majority of the members
present in a meeting called for the purpose by giving written notice to
all members of the Association not less than four weeks before the
meeting.
Dissolution
Upon dissolution of the Association, any assets left after
meeting the liabilities will rest with the Delaware County.
